1. Agreement to Terms
By accessing or using BedGrid ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and BedGrid ("we," "us," or "our"). We reserve the right to modify these Terms at any time, and your continued use of the Service following any changes constitutes acceptance of the revised Terms.
2. Description of Service
BedGrid is a free web-based platform that tracks post-acute care bed availability across California. The Service connects three types of users: post-acute care facilities that report bed availability, hospitals that view availability for discharge planning, and patients/families who search for care placement options. The Service is provided at no cost and includes features such as daily bed reporting, real-time search and filtering, search alerts, and public dashboards.
The Service is currently provided at no cost to all users (facilities, hospitals, and families). We reserve the right to introduce paid features, premium tiers, or subscription plans in the future. We will provide users with reasonable advance notice before any paid features take effect.
3. User Accounts
- You must provide accurate, current, and complete information when creating an account.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You may not create more than one account per user. Facility accounts are limited to one per facility.
- You must notify us immediately at support@bedgrid.org if you suspect unauthorized access to your account.
- We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are fraudulent or inactive.
4. User Types & Responsibilities
Facility Users
- You are responsible for the accuracy and timeliness of all bed availability data you submit to the platform.
- You agree to update your facility's bed availability on a regular basis according to your reporting tier (every 3 days for skilled nursing and subacute facilities, every 7 days for all others).
- Submitting intentionally false or misleading data is a violation of these Terms and may result in account termination.
- You represent that you are authorized to report bed availability on behalf of your facility.
Hospital Users
- You may access and use facility bed data for the purpose of discharge planning and care coordination.
- You may not use data obtained from BedGrid for commercial purposes, resale, or competitive analysis.
- You represent that you are affiliated with a licensed hospital or healthcare system.
Family & Patient Users
- You may access the platform at no charge to search for post-acute care options.
- All data shown to you is for informational purposes only. You must verify availability, services, and suitability directly with facilities before making any care decisions.
5. Acceptable Use
You agree not to:
- Scrape, crawl, or use automated tools to extract data from the Service without our written permission.
- Submit false, misleading, or intentionally inaccurate bed availability data.
- Impersonate another person, facility, or organization.
- Interfere with or disrupt the Service, servers, or networks connected to the Service.
- Attempt to gain unauthorized access to any part of the Service or other users' accounts.
- Use the Service for any unlawful purpose or in violation of any applicable local, state, or federal laws.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service to send spam, unsolicited communications, or marketing materials.
6. No Medical Advice / Healthcare Disclaimer
Important: Please read this section carefully.
- BedGrid is an information platform only. We are not a healthcare provider, care broker, referral service, or placement agency.
- We do not provide medical advice, diagnosis, or treatment recommendations.
- We do not endorse, recommend, or guarantee any specific facility listed on the platform.
- All bed availability data displayed on BedGrid is self-reported by participating facilities. This data may be inaccurate, outdated, or incomplete.
- Users must always contact facilities directly to verify availability, services, licensing, staffing, and suitability before making any care placement decisions.
- BedGrid is not responsible for the quality of care provided by any facility, the accuracy of facility-reported data, or the outcome of any care placement.
7. Intellectual Property
The Service, including its design, code, features, logos, and content (excluding user-submitted data), is the property of BedGrid and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for its intended purposes, including the right to view, search, and share publicly available bed availability data for personal use and for internal organizational or hospital use (such as discharge planning and care coordination). You may not copy, modify, distribute, sell, or create derivative works from any part of the Service without our prior written consent.
8. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. BedGrid does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any data displayed on the platform, including bed availability data submitted by facilities.
9. Limitation of Liability
To the maximum extent permitted by applicable law, BedGrid and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Inaccuracy of facility-reported bed availability data.
- Outcomes of care placements made using information from the Service.
- Service interruptions, downtime, or data loss.
- Unauthorized access to or alteration of your data.
- Any other matter relating to the Service.
In no event shall BedGrid's aggregate liability to you for all claims arising out of or relating to the use of the Service exceed fifty dollars ($50.00 USD).
10. Indemnification
You agree to indemnify, defend, and hold harmless BedGrid and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any data or content you submit to the Service.
11. Termination
We may suspend or terminate your account and access to the Service at any time, in our sole discretion, with or without cause, and with or without notice (except where notice is required by law). You may delete your account at any time by contacting us at support@bedgrid.org. Upon termination, your right to use the Service ceases immediately. Sections 6 (Healthcare Disclaimer), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law) shall survive termination.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Sacramento County, California, and you consent to the personal jurisdiction of such courts.
13. Changes to Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Effective Date" at the top of this page and, where appropriate, notify you via email or a prominent notice on the Service. Your continued use of BedGrid after any changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
